Meeting Minutes

August 9, 2026
Barn Meeting
Saloon
President Larry Moser called the meeting to order at 1:00pm, 17 members in attendance.

The Treasury report was given by Lorna Moser. Checking $7,002.26; saving $5,820.77. Donations for the White Barn Roof Project; $5,820.82. Investment Fund $260,909.19.

Motion was made by Ron Calonder to accept the report, Kevin Settle 2nd, carried.

Lu stated that the minutes she took for the June meeting were sent out to the newsletter, and a reminder to read them to save time at the meetings. Lorna Moser moved to accept the minutes and Ian Rondenberg 2nd, carried.

Old Business:

Red Barn Foundation:
Larry stated that C&D sent a proposal, Samm Gerner read the proposal to the members. Right now the work is at the cap amount of $20,000.00 that was voted on at the June meeting. The work is going to be done in stages. If for some reason the time and materials go beyond the cap amount, or any major repairs. Then C&D would need to notify the members to get approval before moving forward. There were some concerns on how deep Randy was planning to dig the holes; etc. Larry said he would call Randy and talk to him about some of the issues.
August Dance: Lorna stated that the food is taken care of, Samm is taking care of admission, and raffle tickets will be on hand for sale. Lu will get the restroom cleaned. Chris stated that the Country Store will not be open for the evening dance.
Clayton Co. Fair Booth- Lu said they had people stop to sign up for the drawing, buy raffle tickets, take flyers, and visit. It was good recognition for the Association and the Barn.

(Larry wanted to point out some things before going on to new business.)
Larry wanted to stipulate that it was very important that if you have not renewed your 2026 dues, it is very important that you do it now! You must be a member to vote.

Jake Smith called Larry and wanted to know if Plagman Barn would be interested in being on The Iowa Barn Foundation Spring Tour, June 24 and 25, 2028
Lorna moved to table this to have more time to talk about it. Matt White 2nd, carried. 

Kangaroo: Larry was approached by Larry Tibbott to have a kangaroo for Show Days?

New Business:
Samm went over some concerns on permits and taxes since some laws have changed for non-profits. Raffle ticket sales, flea market, etc. This year Samm did purchase a 90 day permit to cover the raffle ticket sales at the dances, Clayton County Fair, and Show Days. Discussion continued with lots of important information. It is important that the Association stays eligible, the sales taxes report only needs to be done once a year.
By-Laws: Section 3 page 3 on the by-laws Election of Directors section
(A) At least sixty (60) days prior to the even-numbered years annual meeting of the members, the board of directors shall appoint a three (3) member nominating
committee.
So the board and officers need to meet to pick 3 members who are willing to be on the nominating committee.

Discussion on areas of the by-laws
Lu had several copies of the by-laws and Kevin handed them out. There are many red areas in the by-laws that need to be looked at and better defined than they are.  Lots of discussion on the issue.  Lorna moved that the members at the meeting should review the laws and bring suggestions back to the September meeting.
Samm 2nd, carried. Samm would be the contact person and if any changes, it would have to go to the lawyer and then come back to the members for approval.

November Voting: For now the Association will follow the past practice over the current by-laws as written.

There are 4 Board Members who serve 4 years, rotating 2 on 2 off to elect two new board members. Ian Rodenberg and Kenny DeMarce will be going off and Lu Kahle and Doc Burrows (filled by Ron Calonder) still have two more years. Ron filled vacated with agreement this would be until the next election.

Four offices are open: President, Vice President, Secretary and Treasurer.

Ron C. motion to elect four officers for two years and two board positions for 4 years each and one board position for two years filling out Doc’s term, Mark 2nd,carried.

8) Shingle Sawmill- Ronnie (To run) Also had cedar logs donated.

9) Rock Crusher- Mark (Good)

10) Ice Cream Stand & rope making- Ron C. (Good and rope making is free on Friday only.)

20) Saloon & Kids Zone- Samm (Clayton Ridge Drill Team helping in the Saloon and performing, there are 75 cases of Sarsaparilla left. Samm is planning to go and get 5 cases of the diet Saraparilla. The Saloon will have their own refrigerator trailer. Sunday thinking about maybe doing root beer floats.

21) School House and cabin- Lorna (Good)
Francis Moser Cabin: It was not on the agenda as old business, Lorna wanted to know that since the quote from the 888 Log Guys on chinking was too high to do the inside of the cabin, what was going to be done with the cabin?  At one time Lynn Moser had expressed interest in doing it as long as he got paid for his time. At the meeting he has rescinded his offer to chink the inside of the cabin. Samm has put the chinking on the project list.

21) Butter Making- Lu (Dorothy & Lu Friday only) Mike White’s wife said she would like to do
Saturday and Sunday, just needs to contact Lu.

22) Gates workers/handicap parking/raffle ticket table- Larry

There is a wedding on September 12th, there is to be NO work at the Barn.

September 13th will be a workday so come at 9:00am to help get some equipment out and do some cleaning.

No other business, Ron Calonder moved to adjourn the meeting and Mark B. 2nd, carried. The meeting adjourned at 2:22PM.
